1. Who these terms are with
These terms are between you (or the organisation you represent) and Cambray Design Limited (trading as Proofbell), company number 06123943, registered at 14–15 Montpellier Arcade, Cheltenham GL50 1SU, England. Our VAT registration number is GB 995081679. By creating an account you accept them.
2. What we provide
Call tracking, marketing attribution reporting, and the upload of conversion data to advertising platforms you connect. We provide tracked telephone numbers, forward calls to numbers you nominate, and record calls where you enable recording.
3. The free plan, and payment
- The free plan requires no card and does not expire. It includes the tracking tag and attribution of your web traffic. It does not include a tracking number, so no calls are tracked on it. We will never charge you for it and there is nothing to cancel.
- A paid plan is what provides your first tracking number. Choosing one is a subscription from that moment; there is no trial period built into it. If a trial has been arranged with us in writing, that arrangement governs instead of this clause.
- Plans are billed monthly or annually in advance, in GBP, excluding VAT. Usage above your plan's allowance is billed in arrears at the published rates and shown in the app before it appears on an invoice.
- If we change your price, we will tell you at least 30 days beforehand and you may cancel before it takes effect. Existing subscriptions keep the price agreed at signup until then.
- What "in arrears" means for talk time. Each answered call includes an allowance of talk time, shown on your plan. Calls within it cost the flat per-call price however short they are. Talk time beyond it is charged per second at the published rate, so an unusually long call costs more than a short one — this is the only part of your bill that depends on call length, and it applies to a small minority of calls.
- Cancel at any time from the billing page. Access continues to the end of the period you have paid for. We do not refund part-months, but we will not charge you again.
- Closing your account does not cancel usage you have already run up. Calls answered and numbers held above your allowance are billed in arrears, so if you close part-way through a month there may be a final invoice covering the usage before you left. We will send it after the period ends and after we have checked our figures against our carrier's, and it will itemise exactly what it is for. If you owe nothing above your allowance there is no final invoice.
4. Your obligations — please read this section
Two of these are the ones customers most often do not realise apply to them, so they are stated plainly rather than buried.
4.1 Call recording consent
You are responsible for the legality of any call you record. Recording is off by default and only happens because you switch it on. In the UK you must inform callers that a call may be recorded and why; other jurisdictions require the explicit consent of every party. We provide the mechanism — announcements, per-project recording settings, retention limits — but we cannot know your jurisdiction or your callers, and we do not accept liability for recordings made without a lawful basis.
4.2 Lawful basis for advertising uploads
When you connect an ad platform and ask us to upload conversions, you are instructing us to send data about your customers to a third party. You must have a lawful basis for that, and where consent is required, you must have obtained it. Our strict-consent mode withholds uploads until consent is recorded, and we recommend using it. The choice is yours, and so is the responsibility.
4.3 Acceptable use
You must not use Proofbell to:
- make or facilitate unsolicited marketing calls, or any use breaching PECR or TPS rules;
- record calls unlawfully, as above;
- impersonate another business, or present a number in a way intended to mislead;
- attempt to access another customer's data, or probe the platform's security without our written agreement;
- resell tracked numbers as a standalone telephony service.
We may suspend an account for a serious or repeated breach. We will tell you why, and give you a chance to fix it unless the breach is causing active harm.
5. Telephone numbers
- Numbers are allocated to you for use with the service and are not sold to you. You may request portability of a number you have used for at least 30 days, subject to the carrier's process. The minimum exists because a number ported away immediately after allocation is a way of buying numbers through us at our cost, not a restriction on anybody using the service as intended.
- A number released from your account is quarantined for 90 days before reuse. This prevents a later customer receiving your calls, and means we cannot re-issue a number to you instantly after release.
- We do not provide emergency calling on tracked numbers. They forward to numbers you nominate and must not be relied on for 999 or 112 access.
6. Availability
We aim for high availability and design for graceful degradation — if our tracking is unreachable, the tag leaves your real phone number visible so you do not lose the call.
We do not currently offer a contractual uptime SLA on standard plans. Saying so is more useful than an SLA we have no track record to support. If you need one, talk to us: a written availability commitment is something we will agree as part of an enterprise agreement, and we would rather negotiate one than publish a figure we cannot yet evidence.
7. Your data
You retain ownership of your data. We process it as described in our privacy policy and on the terms in our data processing addendum, which forms part of this agreement.
You can export your data while your account is open. After closure we retain it for 30 days so an account closed by mistake can be recovered, then delete it apart from records we must keep for tax purposes. We email you before that window ends rather than letting it pass silently.
8. Liability
Nothing here limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.
Otherwise, and subject to that, our total liability in any 12-month period is limited to the fees you paid us in that period. We are not liable for lost profits, lost revenue or lost business opportunity.
Specifically, and importantly: attribution is a modelled estimate, not a statement of fact. We report how confident a figure is and where a platform will not give us data, and we are not liable for commercial decisions you take on the basis of a modelled number. That is why every report shows its reconciliation and its limits.
9. Changes to these terms
We may update these terms. For material changes we will email account holders at least 30 days in advance, and continuing to use the service after that means you accept them.
10. Law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
